Due Diligence Site Visit Support

During due diligence, we visit the practice with you and verify what the seller and the broker put on paper. We walk the office together: the operatories and whether the space actually supports the production it claims, room to add chairs, the condition and age of the equipment and technology, the charts, and the schedule.

You leave knowing what you are actually buying, and with a real start on estimating what your expenses will look like over your first few years of ownership.

Frequently Asked Questions

How is this different from working with a broker?

Brokers represent sellers. Their job is to protect the seller's price and timeline. We represent buyers. Our role is to evaluate the practice from your side of the table and determine what it is actually worth to you as the future owner. A broker shows you what the seller produced. We look at whether you can repeat it.

Do you find practices for me?

No. We are not a broker, we have no practices listed for sale, and we have nothing to sell you. Brokers work for sellers, and they are the ones with practices on the market. We work for buyers. Our role is to analyze the practices already available in your area so you can buy the best one on the market. If you have not selected a practice yet, we help you get there. Strategies for finding practices for sale are a core part of our first advisory call, and we keep a list of practice brokers that we will filter for your location, so your search reaches as many listings as possible.

Do I still need a CPA and attorney?

Yes, but the roles are distinct. An attorney protects you legally and reviews contracts. A CPA reviews financial statements and tax returns. We evaluate the business itself: whether the production transfers, whether the procedure mix matches what you do, and whether the price makes sense against what you'll take home.

When should I reach out? Do I need to have a practice in mind first?

Some clients come in with a practice already in hand and we dive straight into evaluating it. Others reach out before they have one picked out, and we start the search together with our broker list and what to look for. The one hard cutoff is signing an LOI, the letter of intent you sign with a seller. Negotiating leverage drops sharply after that, so get us involved before you sign one.

How do I know this will be worth the fee?

You're about to make a decision worth $500,000 to $1.5 million. If we keep you from overpaying by 5% on a $900,000 practice, that's $45,000. Catch one staffing problem before closing instead of after, that's another $80,000. One avoided mistake usually covers the fee several times over.

How many practices can I evaluate?

Up to one new practice each week, for the length of a full-support engagement. In practice, clients rarely hit that limit. Evaluations after the first one go straight to your inbox so we can move quickly when a good listing appears.

Will you tell me whether I should buy the practice?

Yes. When the numbers support moving forward, we tell you. When they don't, we tell you that too. If it's a bad deal, you'll hear that on the first call.

What if the deal falls through?

Walking away from the wrong practice can save you hundreds of thousands of dollars. Some clients will tell you walking away was the best money they spent. A full-support engagement includes multiple evaluations, so if one doesn't work out, you move on to the next at no extra cost.

Do you negotiate with the broker for me?

We don't contact the broker or seller on your behalf. We give you the numbers and the position to take at each step, from first offer to closing. That works in your favor: the seller's side never knows how much analysis is behind your position, and you stay the easy buyer the seller wants to work with.

Does your help end at closing?

Full support runs through your closing day: verification, due diligence, financing comparison, and the closing checklist. After closing, Post-Transition Consulting is available separately if you want us to stay involved once the practice is yours.

What happens if I don't find a practice within the year?

The engagement runs up to 12 months. Most clients close well inside it. If you need longer, a six-month extension is available.
